Paris, 1 April 2026

Directive (EU) 2024/927 of the European Parliament and of the Council of 13 March 2024, amending the AIFM and UCITS Directives, provides for the widespread deployment of two liquidity management tools in most European AIFs and UCITS.

The aim of this text is to improve and standardise the use of these tools in the European Union and to therefore ensure that investors are better protected in the event of a market crisis or periods of market instability.

Against this backdrop, and in view of the nature of the funds listed above, Dorval Asset Management has chosen to supplement the gates redemption cap mechanism already in place in these funds, by introducing a swing pricing mechanism. These amendments, which will not be approved by the Autorité des marchés financiers (French Financial Markets Authority), do not require any action on your part.

This swing pricing mechanism was already introduced for the Dorval European Climate Initiative Fund* on 1 April 2026. It will be introduced for the other funds in the coming weeks.

About the swing pricing mechanism

Swing pricing is a mechanism whereby the net asset value is adjusted, upwards or downwards, in cases where the total net subscription/redemption orders from investors, based on a net asset value, exceed a pre-established threshold determined by the Management Company. This ensures that entering or exiting unitholders bear the cost of rebalancing the portfolio to manage these inflows and outflows. This mechanism protects the unitholders remaining in the Fund.
